By accessing or using Reasoned Systems ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Account Responsibilities

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately of any unauthorized access to your account

Authorized Users

  • You are responsible for all activity that occurs under your account
  • You may only grant access to individuals within your organization who need it
  • You must ensure all users comply with these terms

Permitted Use

You may use the Service to:

  • Conduct AI-led interviews with job candidates
  • Generate and review decision artifacts
  • Collaborate with your team on hiring decisions
  • Integrate with your existing HR systems

Prohibited Use

You may not:

  • Use the Service for any unlawful purpose
  • Attempt to circumvent security measures or access controls
  • Reverse engineer, decompile, or disassemble the Service
  • Share your account credentials with third parties
  • Use the Service to discriminate against candidates in violation of applicable law
  • Upload malicious code or interfere with Service operations
  • Resell or redistribute the Service without authorization

Customer Content & Ownership

Your Content

You retain ownership of all content you upload to the Service, including job descriptions, candidate information, and interview recordings.

License to Us

You grant us a limited license to use your content solely to provide and improve the Service. This includes processing interviews, generating artifacts, and providing analytics.

Our Content

We retain ownership of the Service, including all software, algorithms, and AI models. Decision artifacts generated by the Service are provided for your use but incorporate our proprietary technology.

Service Availability & Changes

Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability.

Changes

We may modify the Service at any time. We will provide reasonable notice of significant changes that affect your use.

Discontinuation

We may discontinue the Service with 90 days notice. You will be able to export your data during this period.

Fees

Pricing

Fees are based on your subscription plan. Current pricing is available on our website or from your account manager.

Payment

Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.

Changes

We may change pricing with 30 days notice. Price changes take effect at your next billing cycle.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

Hiring Decisions

The Service provides information to assist with hiring decisions. You are solely responsible for all hiring decisions and compliance with employment laws.

Compliance

Our platform is designed to support compliance with:

  • NYC Local Law 144 (AEDT) - Automated Employment Decision Tool requirements
  • EEOC Guidelines - Equal employment opportunity compliance
  • GDPR Ready - European data protection standards
  • EU AI Act Ready - European AI regulation preparedness

You are responsible for ensuring your use of the Service complies with all applicable laws.

Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

General Provisions

Entire Agreement

These terms constitute the entire agreement between you and Reasoned Systems regarding the Service.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Failure to enforce any provision does not waive our right to enforce it later.
